Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the GradeIX web application (the "Service") operated by GradeIX ("us", "we", or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users (including administrators, teachers, staff representing an educational institution), and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service. Your use of the Service is also governed by our Privacy Policy.

1. Service Description

GradeIX provides a cloud-based school management and analytics platform designed to help educational institutions manage academic records, track student performance, streamline administrative tasks, and gain insights from data.

2. Accounts and Registration

To use the Service, your educational institution ("Institution") must register for an account. The individual registering the account represents and warrants that they have the authority to bind the Institution to these Terms.

The Institution is responsible for:

  • Providing accurate, current, and complete information during registration and maintaining the accuracy of this information.
  • Maintaining the confidentiality of administrator account credentials.
  • Managing user accounts (teachers, staff, etc.) associated with the Institution's account, including granting and revoking access.
  • All activities that occur under the Institution's account and its associated user accounts.
  • Notifying us immediately of any unauthorized use of an account or any other breach of security.

We reserve the right to suspend or terminate accounts if any information provided is inaccurate, false, or violates these Terms, or if unauthorized activity is detected.

3. Use of the Service

Subject to these Terms and payment of applicable fees (if any), we grant the Institution and its authorized Users a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for the Institution's internal educational and administrative purposes.

You agree not to:

  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
  • Violate or encourage others to violate the rights of third parties, including intellectual property rights.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
  • Interfere with the security-related features of the Service, disable or circumvent features that prevent or limit use or copying of any content, or probe, scan, or test the vulnerability of any system or network.
  • Interfere with the operation of the Service or any user's enjoyment of it, including by uploading or disseminating viruses, adware, spyware, worms, or other malicious code, making unsolicited offers or advertisements, or attempting to collect personal information without consent.
  • Sell, resell, license, sublicense, distribute, rent, or lease the Service, include the Service in a service bureau or outsourcing offering, or otherwise make the Service available to any third party outside the authorized Users of the Institution.

4. Institutional Data and Responsibility

The Institution retains all ownership rights to the data uploaded or entered into the Service by its Users ("Institutional Data"), including student records, grades, attendance, etc.

The Institution grants GradeIX the necessary rights to process Institutional Data solely for the purpose of providing, maintaining, securing, and improving the Service as described in these Terms and our Privacy Policy.

The Institution is solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all Institutional Data, and for obtaining all necessary consents and providing all required notices (e.g., under FERPA, COPPA, GDPR) for the collection, use, and disclosure of personal information, particularly student data, processed through the Service.

5. Fees and Payment (If Applicable)

Access to certain features or tiers of the Service may require payment of fees. All applicable fees, billing cycles, and payment terms will be specified during the signup process or in a separate agreement between GradeIX and the Institution.

Failure to pay fees may result in suspension or termination of access to the Service.

All fees are non-refundable unless otherwise stated or required by law.

6. Intellectual Property

The Service and its original content (excluding Institutional Data), features, and functionality are and will remain the exclusive property of GradeIX and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks may not be used in connection with any product or service without our prior written consent.

7. Service Availability and Support

We will use commercially reasonable efforts to make the Service available, but we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance or experience temporary downtime.

Support terms, if applicable, will be specified in the Institution's subscription plan or agreement.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, GRADEIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GRADEIX, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT PAID BY THE INSTITUTION FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

The Institution agrees to defend, indemnify, and hold harmless GradeIX and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (i) the Institution's or its Users' access to or use of the Service; (ii) violation of these Terms; (iii) violation of any third-party right, including any intellectual property right or privacy right; or (iv) any claim that Institutional Data caused damage to a third party.

11. Termination

We may terminate or suspend access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

The Institution may terminate its account by contacting us, subject to any ongoing payment obligations.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice (e.g., via email to the administrator or through the Service) prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
